Welcome to Zeekeo. These Terms of Use, together with any additional terms, policies, order forms, subscription terms, proposals, statements of work, or service agreements that reference these Terms, govern your access to and use of Zeekeo’s websites, subdomains, platforms, software, dashboards, content, and services.

These Terms apply to Zeekeo’s websites and services, including but not limited to https://zeekeo.com, https://zlaunchpad.zeekeo.com, Zeekeo Launchpad, Zeekeo Elite, Zeekeo MTS, and any other website, subdomain, application, platform, software, dashboard, managed service, or related offering operated by Zeekeo.

Zeekeo may offer both Do It Yourself “DIY” services, where customers access and use Zeekeo tools, software, dashboards, workflows, or resources directly, and Done For You “DFY” services, where Zeekeo provides managed services, campaign execution, outbound support, marketing services, appointment setting, or related work on the customer’s behalf.

By accessing or using any Zeekeo website, subdomain, platform, product, software, dashboard, or service, you agree to be bound by these Terms. If you are using the Services on behalf of a business, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, please do not access or use the Services.

For purposes of these Terms, “Zeekeo,” “we,” “us,” or “our” means Zeekeo and its affiliated companies, including Commerx Corporation and Commerx US Inc., as applicable.

1. Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services in a way that violates any applicable law, infringes the rights of others, interferes with the operation of the Services, or harms Zeekeo, our customers, our partners, or any third party.

Prohibited activities include, but are not limited to:

• Violating any applicable law, regulation, rule, or industry standard
• Attempting to gain unauthorized access to the Services, user accounts, systems, networks, or data
• Using automated tools, bots, scraping tools, crawlers, or scripts without our prior written permission
• Transmitting harmful, defamatory, obscene, misleading, fraudulent, abusive, or illegal content
• Uploading or transmitting viruses, malware, or other harmful code
• Interfering with or disrupting the security, integrity, or performance of the Services
• Misrepresenting your identity, business, authority, affiliation, or intentions
• Using the Services to send unlawful, deceptive, abusive, or non-compliant communications
• Using the Services in a way that violates the terms, policies, or rules of third-party platforms

We reserve the right to suspend, restrict, or terminate your access to the Services if we believe you have violated these Terms or used the Services in a way that creates legal, operational, reputational, or security risk.

2. DIY and DFY Services

Zeekeo provides different types of services, which may include self-serve software access, managed services, or a combination of both.

DIY Services

DIY Services may include access to Zeekeo Launchpad, dashboards, tools, workflows, templates, campaign features, reporting, data views, training resources, or other self-serve functionality.

When using DIY Services, you are responsible for:

• Setting up and managing your own account, campaigns, workflows, content, and users
• Reviewing and approving all messaging, targeting, lists, offers, and campaign activity
• Ensuring your use of the Services complies with applicable laws, regulations, and third-party platform rules
• Maintaining the accuracy, legality, and appropriateness of any data, content, or materials you upload, create, or use
• Monitoring results, replies, performance, and activity within your account

Zeekeo may provide recommendations, support, templates, guidance, or technical assistance, but you remain responsible for how you use the DIY Services.

DFY Services

DFY Services may include managed outbound campaigns, appointment booking, lead generation, LinkedIn outreach, email outreach, targeted calling, PPC support, marketing technology services, campaign strategy, account management, or related services performed by Zeekeo on your behalf.

For DFY Services, you authorize Zeekeo to perform the agreed services based on the information, approvals, access, materials, and instructions you provide.

You are responsible for:

• Providing accurate business information, target audience details, offers, messaging direction, and campaign requirements
• Approving campaign strategy, messaging, creative, lists, scripts, and other materials where approval is requested
• Ensuring that your products, services, claims, offers, and instructions are lawful, accurate, and not misleading
• Responding to leads, meetings, opportunities, replies, or inquiries generated through the Services
• Maintaining any required licenses, consents, permissions, or legal basis needed for your campaigns

Zeekeo will use commercially reasonable efforts to deliver DFY Services in a professional manner. However, unless expressly stated in a separate written agreement, Zeekeo does not guarantee any specific number of leads, appointments, replies, conversions, revenue, rankings, sales, or business outcomes.

3. Accounts and Access

Certain parts of the Services, including Zeekeo Launchpad, may require you to create an account, log in, purchase a subscription, or access a private dashboard.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information and to promptly update your information as needed.

You may not share, transfer, resell, or sublicense access to your account unless expressly authorized by Zeekeo in writing.

You agree to notify us promptly if you believe your account has been compromised or used without authorization.

4. Zeekeo Launchpad, Managed Services, and Outreach Activity

Zeekeo may provide access to tools, dashboards, campaign systems, workflows, templates, strategy materials, data, lead generation services, outreach systems, appointment booking services, managed marketing services, or related business development services.

Depending on the service purchased, you may use the Services directly as a DIY customer, receive managed support as a DFY customer, or receive a combination of software access and managed services.

You are responsible for ensuring that your use of the Services, including any outreach, messaging, advertising, prospecting, calling, email, LinkedIn activity, campaign activity, or follow-up activity, complies with all applicable laws, regulations, and third-party platform policies.

This may include, where applicable:

• Anti-spam and electronic messaging laws
• Privacy and data protection laws
• Telemarketing and calling laws
• Advertising and marketing rules
• Consumer protection laws
• Platform terms of service, including LinkedIn, email providers, advertising platforms, CRMs, and other third-party tools
• Industry-specific compliance obligations applicable to your business

Zeekeo may provide tools, content, templates, managed services, recommendations, automations, workflows, or campaign execution support. However, you remain responsible for reviewing and approving your own products, services, offers, claims, lists, targeting, messages, campaign strategy, and compliance obligations.

You acknowledge that outreach and marketing performance can vary based on many factors outside Zeekeo’s control, including market conditions, offer strength, audience fit, deliverability, platform rules, buyer demand, response quality, and your own sales follow-up.

Zeekeo does not guarantee that any campaign, outreach activity, software feature, managed service, or use of the Services will result in leads, appointments, revenue, conversions, search rankings, advertising performance, or business outcomes.

5. Subscriptions, Fees, and Payment

Certain Services may require payment of fees, subscriptions, retainers, setup fees, onboarding fees, usage fees, managed service fees, advertising fees, or other charges.

DIY Services may be billed as subscriptions, software access fees, user-based fees, usage-based fees, or other recurring charges.

DFY Services may be billed as monthly retainers, campaign fees, setup fees, service packages, project fees, performance-related fees, or other charges set out in an order form, proposal, invoice, checkout page, statement of work, or separate agreement.

If you purchase a paid Service, you agree to pay all applicable fees according to the terms presented at the time of purchase, in an order form, invoice, proposal, checkout page, subscription page, statement of work, or separate agreement.

Unless otherwise stated in writing:

• DIY subscriptions may renew automatically until cancelled
• DFY retainers or managed service fees may continue according to the agreed billing cycle
• Setup fees, onboarding fees, implementation fees, completed service fees, and third-party costs may be non-refundable
• Cancellation of a DIY subscription does not automatically cancel separately agreed DFY services
• Cancellation of DFY services does not automatically remove access to separately purchased DIY software unless stated otherwise
• Late or failed payments may result in suspension or termination of access, campaigns, support, or managed services
• Taxes, payment processing fees, advertising spend, data costs, third-party software costs, or other external costs may be charged separately where applicable

You are solely responsible for managing your subscription, including cancellations, renewals, billing details, plan changes, and changes to the number of paid seats. Fees are non-refundable, and any unused subscription time will not be refunded if you cancel, do not use the Services, fail to use the Services, or otherwise fail to manage your subscription.

If you remove a paid seat during a subscription term, any unused portion for that seat will not be refunded. Instead, the unused portion will be credited on your next invoice, unless otherwise stated in a separate written agreement.

Any additional payment, cancellation, refund, seat management, credit, or renewal terms provided at purchase or in a separate written agreement will also apply.

6. Intellectual Property

All content, software, designs, graphics, logos, trademarks, service marks, copy, videos, images, templates, workflows, dashboards, documentation, and other materials made available through the Services are owned by Zeekeo, its affiliates, its licensors, or its service providers and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, reverse engineer, resell, sublicense, or exploit any part of the Services without our prior written permission.

Subject to your compliance with these Terms, Zeekeo grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.

No rights are granted to you except as expressly stated in these Terms.

7. User-Submitted Content

If you submit, upload, provide, or transmit any content, information, data, files, campaign materials, feedback, comments, business information, prospect lists, messaging, creative assets, or other materials to Zeekeo or through the Services, you represent that you have the necessary rights and permissions to do so.

You retain ownership of your content. However, you grant Zeekeo a worldwide, non-exclusive, royalty-free license to use, host, store, copy, process, modify, display, transmit, and otherwise use your content as necessary to provide, improve, support, and operate the Services.

If you provide feedback, suggestions, ideas, or recommendations about the Services, you agree that Zeekeo may use them without restriction or compensation to you.

You are responsible for the accuracy, legality, and appropriateness of all content and information you provide.

8. Data, Privacy, and Communications

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect personal information.

By using the Services, you agree that Zeekeo may collect and process information as described in the Privacy Policy.

You also agree that we may contact you regarding your account, inquiries, purchases, service updates, billing, security, support, and other transactional or service-related matters. Where permitted by law, we may also send marketing communications, which you may opt out of as required by applicable law.

9. Third-Party Platforms and Services

The Services may integrate with, link to, rely on, or reference third-party websites, platforms, tools, applications, data providers, advertising platforms, social networks, payment processors, hosting providers, CRM systems, email platforms, analytics tools, or other services.

Zeekeo is not responsible for third-party websites, platforms, services, content, policies, availability, performance, errors, data practices, or changes.

Your use of third-party platforms or services is governed by the terms and policies of those third parties. You are responsible for complying with all third-party terms that apply to your use of the Services.

Zeekeo is not associated with, endorsed by, or sponsored by LinkedIn Corporation unless expressly stated otherwise.

10. Service Availability and Changes

We may modify, update, suspend, discontinue, or replace any part of the Services at any time. We do not guarantee that the Services will be uninterrupted, error-free, secure, or available at all times.

We may also impose limits on certain features, restrict access to certain parts of the Services, or update functionality as needed for security, compliance, operational, or business reasons.

11. Disclaimer of Warranties

The Services and all content, materials, tools, recommendations, and information are provided “as is” and “as available” without warranties of any kind, express or implied.

To the fullest extent permitted by applicable law, Zeekeo disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and reliability.

We do not warrant that the Services will meet your requirements, achieve any particular result, generate leads or revenue, improve performance, be uninterrupted or error-free, or remain compatible with third-party platforms.

Your use of the Services is at your sole risk.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Zeekeo, its affiliates, owners, officers, directors, employees, contractors, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages arising out of or relating to your access to or use of the Services.

This includes, without limitation, damages for lost profits, lost revenue, lost business opportunities, loss of goodwill, loss of data, service interruption, campaign performance, platform restrictions, account suspension, or third-party claims, even if we have been advised of the possibility of such damages.

Zeekeo is not liable for any loss, claim, penalty, account restriction, platform suspension, deliverability issue, lost opportunity, missed meeting, failed conversion, campaign underperformance, inaccurate customer-provided data, unapproved claim, delayed response, or third-party platform action arising from your use of DIY Services, your instructions to Zeekeo, your failure to review or approve materials, your failure to respond to leads or opportunities, or your use of third-party platforms.

To the fullest extent permitted by law, Zeekeo’s total liability for any claim arising out of or relating to the Services or these Terms shall not exceed the amount you paid to Zeekeo for the applicable Service giving rise to the claim during the three months preceding the event that gave rise to the claim, or one hundred dollars USD if no paid Service applies.

Some jurisdictions, including the European Union, United Kingdom, Canada, and certain U.S. states, do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, the limitations above apply only to the fullest extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Zeekeo, its affiliates, owners, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:

• Your use of the Services
• Your violation of these Terms
• Your violation of applicable laws, regulations, or third-party platform rules
• Content, data, lists, materials, or instructions you provide to Zeekeo
• Your marketing, outreach, sales, advertising, or business activities
• Your infringement or alleged infringement of any third-party rights
• Your use of DIY Services, including campaigns, messages, lists, data, workflows, or content you create, upload, approve, or send
• DFY Services performed based on your instructions, approvals, materials, offers, targeting, claims, or business information
• Any allegation that your campaigns, products, services, offers, data, lists, or instructions violate applicable law or third-party rights
• Any violation of third-party platform terms, including LinkedIn, email providers, advertising platforms, CRM systems, or other tools used in connection with the Services
  
  

14. International Users

Zeekeo is based in the United States and Canada and operates under applicable U.S., Canadian, and local laws. By accessing or using the Services from outside the United States or Canada, including from the European Union, United Kingdom, or other jurisdictions, you agree that you are responsible for compliance with local laws that may apply to you.

Certain disclaimers, limitations, exclusions, or provisions in these Terms may not apply or may be limited by mandatory local laws. Nothing in these Terms is intended to limit rights that cannot be limited under applicable law.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict of law principles, except where prohibited by applicable law.

Any dispute arising out of or relating to these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Phoenix, Arizona, unless a separate written agreement between you and Zeekeo provides otherwise or applicable law requires a different forum.

You agree to submit to the personal jurisdiction of those courts for purposes of resolving such disputes.

16. Termination

We may suspend, restrict, or terminate your access to the Services at any time if we believe you have violated these Terms, failed to pay applicable fees, created risk for Zeekeo or others, violated applicable laws or third-party policies, or used the Services in a harmful, unlawful, or inappropriate manner.

You may stop using the Services at any time. Termination does not relieve you of payment obligations incurred before termination.

Sections that by their nature should survive termination shall survive, including intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

17. Changes to These Terms

We may update or modify these Terms from time to time. Updated Terms will be posted on this page with a revised “Last Updated” date.

Your continued access to or use of the Services after updated Terms are posted means you accept the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.
